Tax Benefits for Investing in Uruguay: Investment Law, New Residents and More

SA
Sociedades Anónimas Team

Over the decades, Uruguay has built one of the most favourable tax frameworks in South America for private investment. A combination of moderate taxes, the territoriality principle, sector exemptions and preferential treatment for new residents makes the Uruguayan tax system genuinely competitive at regional and international level. The tax benefits for investing in Uruguay are not isolated exceptions but a coordinated set of instruments designed to attract and retain productive capital and wealth. In this guide we walk through the main mechanisms available.

Uruguay as an Attractive Tax Jurisdiction: The General Framework

Uruguay’s tax appeal rests on several structural pillars that set it apart from its neighbours. The most fundamental is the territoriality principle: for companies, IRAE in general taxes only Uruguayan-source income, so income genuinely earned abroad is not subject to corporate tax in Uruguay. For individuals, IRPF taxes employment income on a territorial basis, but certain foreign capital income of residents — interest and dividends since 2011 and, since 2026 (Law 20,446), also rents and capital gains abroad — is taxed, at rates of up to 12%. That is why the special regime for new residents, explained below, is so valuable.

Add to this the free movement of capital: Uruguay has no exchange controls or restrictions on repatriating profits or bringing in capital from abroad. A foreign investor can move funds to and from Uruguay with complete freedom, which contrasts sharply with the situation historically seen in Argentina. This exchange freedom is in itself a first-rate economic benefit for any company or investor with international operations.

IRAE Exemption: The Most Powerful Benefit for Investors

The IRAE exemption for investment projects in Uruguay is the most important fiscal policy instrument for companies investing in fixed assets. Through the Investment Law (No. 16,906) regime and its regulatory decrees (currently Decree 143/018 and amendments), companies submitting projects to COMAP can access IRAE exemptions proportional to the amount and impact of the investment on indicators such as jobs created, exports, geographic decentralisation, technology and environmental improvement.

For the highest-scoring projects, the exemption can reach 100% of the amount invested in fixed assets, deductible from the IRAE payable in subsequent years (subject to annual caps). For a company investing USD 5 million in equipment and machinery, this can mean reducing its IRAE burden by several million dollars over a number of years, directly improving the project’s profitability. This is why the COMAP regime is one of the most widely used investment incentives in Uruguay across all sectors.

Tax Benefits in Uruguay for Foreigners

The tax benefits for foreigners investing in Uruguay are broad and available on the same terms as for local investors. Uruguay does not discriminate by nationality in access to tax incentives: a foreign-owned company can access the same benefits under the COMAP regime, free zones, the software regime or the Promoted Housing Law as a Uruguayan company.

For foreign individuals settling in Uruguay, the most significant benefit is the tax holiday on foreign-source capital income for new tax residents: they can opt not to pay IRPF on dividends from foreign companies, interest on accounts abroad and other foreign capital income for the year they become resident and the following ten years. For those who become resident from 2026, Law 20,446 conditions this benefit on more than 183 days of presence per year or a qualifying investment in Uruguay. For entrepreneurs with assets and income in several countries, this benefit can mean tax savings of tens of thousands of dollars a year.

Tax Benefits in Uruguay for Real Estate

The Uruguayan real estate sector has a specific incentive regime under the Promoted Housing Law (No. 18,795), which makes Uruguay one of the most attractive real estate investment destinations in the region. Residential construction projects approved by the National Housing Agency (ANV) access a set of exemptions including IRAE on the project’s income, VAT on construction materials and related services (through refunds), and Net Wealth Tax on the properties built for a number of years.

There are also benefits for investors who buy promoted housing units to rent out, such as exemptions on rental income and on Net Wealth Tax for a period, and an exemption from the property transfer tax (ITP) on the first sale. This combination of benefits for developers and final buyers makes promoted housing one of the most tax-efficient real estate niches in Uruguay.

In addition, investment in real estate can also be one of the routes to obtaining tax residence in Uruguay, provided the thresholds set by the regulations are met.

Tax Benefits in Uruguay for Technology and Software

Uruguay has a tax regime specifically designed for tech and software companies that is one of the most competitive in Latin America. The technology activities regime (Decree No. 150/007) allows companies developing software in Uruguay to exempt from IRAE up to 100% of the income from software and related services used abroad, in proportion to the development carried out in Uruguay with local qualified staff. This aligns the tax incentive with the creation of quality jobs.

For software exporters, combining this regime with the VAT exemption on exported services can bring the effective tax burden to extraordinarily low levels or even zero. A company that develops software for clients abroad, employs local technicians, exports its services free of VAT and applies the IRAE exemption under the technology regime can operate with a minimal tax burden for years.

Alternatively, tech companies whose activity is entirely for clients abroad can operate from a free zone, where the full IRAE exemption applies under the free zone’s own rules.

Tax Benefits for Holdings and Dividends in Uruguay

Uruguay offers very favourable conditions for holding structures. Dividends received by a Uruguayan holding from Uruguayan subsidiaries that pay IRAE are not taxed again, which avoids economic double taxation within the group: the profits of the operating companies pay IRAE only once and are not taxed again as they flow to the holding. This makes holding structures in Uruguay tax-efficient for centralising control and profit flows of groups with several local subsidiaries.

When profits are finally distributed to individual shareholders or abroad, the withholding rate is 7% (IRPF for residents or IRNR for non-residents), one of the lowest in the region for dividend distributions. This rate may be reduced further under the double tax treaties in force with countries such as Spain, Germany, Switzerland and others, for shareholders resident in those jurisdictions.

In addition, the holding’s Net Wealth Tax is calculated excluding its shareholdings in Uruguayan subsidiaries, eliminating double wealth taxation within the local group. The result is a holding structure in Uruguay with a combined tax burden — IRAE in the operating companies + net wealth tax in the holding + dividends to shareholders — that is very competitive by regional standards.

Comparative Advantages of the Uruguayan Tax Regime

Comparing Uruguay’s tax regime with that of its main regional competitors, the comparative advantages of the Uruguayan tax system become clear on several fronts:

  • No exchange controls: Uruguay has no restrictions on holding and moving foreign currency, eliminating one of the biggest risks for investors in the region.
  • Territoriality of IRAE: companies’ foreign-source income is not taxed in Uruguay, which sets it apart from countries like Brazil, where companies and residents are taxed on worldwide income.
  • A long holiday for new residents: few countries in the region offer such a long window of exemption for the foreign capital income of people who settle there.
  • No inheritance tax: Uruguay does not tax inheritances or gifts in most cases, making it a very favourable jurisdiction for succession planning of family wealth.
  • Dividends at 7%: the tax on dividends distributed out of IRAE-taxed profits is 7%, among the lowest in the region.
  • Special sector regimes: free zones, the Investment Law, the software regime and Promoted Housing are concrete instruments that generate real exemptions, not just nominal promises.

Conclusion

Uruguay is not just a politically stable country with a high quality of life: it is also a genuinely competitive tax destination for productive investment and wealth. The tax benefits for investing in Uruguay — from the IRAE exemption under the COMAP regime to the new-resident holiday on foreign income, as well as the incentives for technology, real estate, holdings and free zones — form a tax ecosystem that actively encourages capital and talent to settle in the country.

Making the most of these benefits requires proper planning and structuring: not all benefits are automatic, and some require submitting projects, opting into specific regimes or meeting particular conditions. Specialised tax and legal advice is the investment that turns the system’s nominal advantages into real, sustainable tax savings.
